Terms of service
Last updated: 3 November 2026
The short version
- Every project starts with a written quote. The quote is what we both follow.
- You pay in three parts: 40% to start, 30% halfway, 30% at delivery.
- Until the final payment, the code belongs to SHL Solutions. After it, the code is yours and handed over to you.
- Running costs (domain, server, apps) are billed at actual cost, in your name.
- After delivery, you have 7 days to check everything and tell us what's not working.
1. About these terms
SHL Solutions is a sole proprietorship based in Virar, Maharashtra, India ("we", "us"). These terms cover your use of this website and any work we do for you. If your written quote says something different, the quote wins for that project.
2. Using this website
You're welcome to read and share this website. Please don't copy its design, text or code for your own use, try to break or overload it, or send spam through the contact form. Prices shown on the website are a guide. Your written quote is the final price.
3. Quotes and scope
- After a free call, we send a written quote with the price, what is included, what is not, and a timeline.
- A quote is valid for 30 days.
- Anything not listed in the quote is extra and gets its own price before we start on it.
- Any change to what we agreed only counts once it's confirmed in writing, by email or WhatsApp message. Something said on a phone call doesn't change the scope until it's written down.
4. Payment
- Projects are paid in three parts:
- 40% advance, before work starts
- 30% at the halfway point, when the design is approved and the build is underway
- 30% at delivery, before the code and accounts are handed over and the site goes live
- Care plans are paid monthly in advance, or yearly in advance (12 months for the price of 10).
- Running costs such as domain, hosting, server, database, email, Shopify or payment gateway fees are paid by you at actual cost. Wherever possible, these accounts are opened in your name.
- If a payment is late, every delivery date moves back by at least the same number of days, and any launch date we promised no longer applies.
- If a payment is more than 15 days late, we may pause work or care services until it's paid.
- If SHL Solutions becomes registered for GST, GST will be added to our prices as the law requires, and your quote will show it.
5. Cancellation and refunds
- If you cancel before we start work, we refund your advance in full.
- Once work has started, the advance is not refunded, because it covers the time already spent. For example, if a ₹40,000 project is cancelled after work has started, the ₹16,000 advance already paid is not refunded.
- Payments already made for later stages are not refunded either, and the work stays with SHL Solutions.
- Care plans can be cancelled with 30 days' notice. Months already paid are not refunded.
6. Your part
- Send the content we need (text, photos, logo, product details) on time.
- Only send content you have the right to use. You are responsible for it, including copyright on photos and text.
- Review previews and reply with feedback within a reasonable time.
If content or feedback is delayed, the timeline moves by the same amount.
7. If a project goes quiet
- If we don't hear from you, or don't receive content or feedback we need, for 30 days, the project is paused and its place in our schedule is released.
- After 60 days without a reply, the project is closed. Payments for the work done up to that point become due, and the work stays with SHL Solutions until they're paid.
- To restart a closed project, we'll send a new quote and timeline.
8. Delivery and acceptance
- When the work is ready, we share it with you for a final check. You then have 7 days to tell us about anything that doesn't work as agreed in the quote.
- We fix those points, and the project counts as delivered. If you don't report anything within 7 days, the project counts as accepted.
- The final payment is due on delivery. The 15 days of free bug fixes start from the delivery date.
9. Changes and fixes
- Every project includes 2 rounds of changes during the build.
- After delivery, we fix bugs for free for 15 days. A bug is something that doesn't work as agreed in the quote. A new idea or a different design is a change, not a bug.
- After that, changes are charged as listed on our pricing page, or included in a care plan. Unused care-plan edits don't carry over to the next month.
10. Who owns what
- Until the final payment is made, SHL Solutions owns all the code, designs and other work created for your project. Previews are shared on our own preview link so you can review them. They may not be copied, published or used elsewhere.
- When the final payment is made, ownership of the finished website or app passes to you. We hand over the complete code and access to every account in your name. After handover we don't keep a copy of your project's code, unless you choose a care plan, in which case we keep access only to maintain it for you.
- Always yours, from day one: your domain (registered in your name), and the text, photos, logo and other content you give us.
- If a project is cancelled before the final payment, the code and designs stay with SHL Solutions.
- We keep the right to reuse our own general building blocks and know-how, such as code patterns and components that are not specific to your business, in other projects.
- Third-party tools (such as Shopify, themes, plugins and fonts) remain under their own licences, which you agree to when we use them in your project.
- We may show the finished work (screenshots, a link and a short description) in our portfolio. Tell us in writing if you'd rather we didn't, and we won't.
11. After handover
Unless you have a care plan with us, once the project is handed over you are responsible for:
- Keeping your passwords and account access safe, and deciding who else gets access
- Renewing your domain, hosting and other services on time
- Changes, updates and security of the site from then on
We're always happy to help after handover, charged at the rates on our pricing page.
12. Your business's legal duties
You are responsible for what your website says and sells, and for following the laws that apply to your business. That includes your own privacy policy and terms for your customers, product and price claims, and licences or registrations your business needs (for example FSSAI for food businesses). We can set up standard pages for you, but we don't give legal advice.
13. Work we don't take on
We may refuse a project, or stop one, if it involves anything illegal, scams or misleading claims, gambling, adult content, hate or harassment, or copying someone else's brand or design. If we stop a project for one of these reasons, payments already made are not refunded.
14. How we work
We may use software tools, including AI assistants, to help write code and text. Every piece of work is reviewed and tested by us before it reaches you, and we're responsible for what we deliver.
15. Third-party services
Your project may depend on outside services such as hosting providers, domain registrars, Shopify, Razorpay or WhatsApp. We choose reliable ones, but we are not responsible for their outages, price changes or policy changes. If one of them affects your site, we'll help fix it, and work outside your care plan is charged at our normal rates.
16. What we can't promise
We build every site with good search basics and fast loading, but we can't guarantee Google rankings, visitor numbers, enquiries or sales. Those also depend on your market, your offer and your marketing.
17. Limits of our responsibility
We build and test carefully, but no website is ever completely free of bugs or downtime. We are not responsible for indirect losses such as lost sales or profits. Our total responsibility for any project is limited to the amount you paid us for that project.
18. Events outside our control
Neither of us is responsible for delays caused by events outside our reasonable control, such as natural disasters, widespread internet or power outages, illness, or government action. If this happens, timelines move by the time lost.
19. Confidentiality
We keep your business information, logins and customer data private, use them only for your project, and hand back or delete access when the work ends. How we handle personal data is explained in our privacy policy.
20. Disputes
If something goes wrong, email us first and we'll try to sort it out together. These terms are governed by the laws of India, and any dispute will be handled by the courts in Palghar district, Maharashtra.
21. General
- Your written quote and these terms together are the full agreement between us for your project.
- If any part of these terms is found to be invalid, the rest still applies.
- If we don't enforce a term straight away, we can still enforce it later.
- These terms are available in English, Hindi, Marathi and Gujarati. If a translation differs from the English version, the English version applies.
22. Changes to these terms
We may update these terms from time to time. The version that applies to your project is the one in force when you accepted your quote.
